Terms of Service

Welcome to RouteFunds. These Terms of Service ("Terms") govern your access to and use of the RouteFunds platform, including the website, marketplace, and related services (the "Services"). By using the Services, you agree to these Terms.

1. Eligibility & Accounts

You must be at least 18 years old and authorized to bind the entity you represent. You are responsible for all activity under your account and for maintaining the confidentiality of your credentials.

2. Role of RouteFunds

RouteFunds operates a neutral marketplace and payment facilitation platform. RouteFunds is not a party to any transportation agreement between shippers, brokers, and carriers and does not provide transportation services.

Brokers remain responsible for maintaining valid authority, bonding, and compliance with applicable laws.

3. Payments, Pre-Funding & Payouts

• Loads are pre-funded by the shipper or broker before being made available to carriers.
• Payments are processed by third-party providers, including Stripe. RouteFunds does not hold funds as a bank or financial institution.
• Funds are released to the carrier after Verified Delivery (defined below), subject to the dispute process.
• Users agree to the terms of applicable payment providers.
• RouteFunds charges a platform fee, paid by the funding party. Current fee terms are disclosed at the time of funding and may change from time to time.

4. Verified Delivery

A delivery is considered "Verified" when required documentation and data are submitted, which may include:

• Proof of Delivery (POD)
• Receiver signature
• Timestamp
• GPS location data (where applicable)

RouteFunds uses this information to determine eligibility for payment release.

5. Disputes

After delivery is marked Verified, a 2-hour dispute window begins.

• If no dispute is raised → funds are released automatically
• If a dispute is raised → funds may be held for up to 72 hours

RouteFunds will review available evidence and make a determination for purposes of releasing funds on the platform.

👉 RouteFunds' determination is final with respect to platform payment handling, but does not determine legal liability between parties.

6. Cancellations & Carrier Drop Policy

If a carrier accepts a load and requests to cancel:

• A drop request must be submitted
• RouteFunds may review and approve or reject the request

If a drop is not approved, the carrier may be charged a platform drop fee as disclosed in-app at the time of the request.

Users authorize RouteFunds to charge applicable fees through the payment method on file.

7. Acceptable Use

You agree not to:

• Post fraudulent or misleading loads
• Circumvent platform payments
• Upload unauthorized or unlawful content
• Interfere with platform security

RouteFunds may suspend or terminate accounts at its discretion.

8. Carrier Representations

Carriers represent that they:

• Maintain valid operating authority and insurance
• Comply with all applicable laws and regulations
• Employ properly licensed drivers where required

9. Disclaimer of Warranties

The Services are provided "as is" without warranties of any kind.

RouteFunds does not guarantee:

• Shipment performance
• Delivery outcomes
• Payment timing beyond platform processes

10. Limitation of Liability

To the maximum extent permitted by law:

• RouteFunds is not liable for indirect, incidental, or consequential damages
• RouteFunds is not responsible for cargo loss, damage, delays, or disputes between users
• Total liability is limited to fees paid to RouteFunds in the previous 90 days

11. Indemnification

You agree to indemnify and hold harmless RouteFunds from claims arising out of:

• Your use of the Services
• Your shipments or transactions
• Your violation of these Terms

12. Governing Law

These Terms are governed by the laws of the State of Arizona, without regard to conflict of law principles.

13. Changes

We may update these Terms from time to time. Continued use of the Services constitutes acceptance of updated Terms.
